Two cheap-looking corporate tax stories
Founders compare a US LLC and an Estonia OÜ because both are marketed as “0%.” They are not the same 0%. Wyoming’s 0% is a state corporate income tax of zero; federal reporting and home-country tax remain. Estonia’s 0% is a timing benefit on retained and reinvested profits, with 20/80 taxation when you actually take dividends, plus monthly TSD filings with the Tax and Customs Board. If you distribute most profits every year, the Estonian timing benefit collapses. If you never distribute and you manage the company from Berlin or London, place-of-effective-management rules may reassign the tax anyway.
Use the simulator Estonia agency scenario alongside a Wyoming run. Estonia’s state report fee is $0; the local contact person and legal address typically cost about $300; bookkeeping is $800 / $1,200 / $2,400 by volume; CPA compilation is about $600. Wyoming remains $62 + $100 + volume bookkeeping + Form 5472 CPA. The cheaper row in a spreadsheet is not the same as the cheaper life.
Administration and identity
Estonia’s e-Residency card is a digital identity for the e-Business Register, banking applications, and tax board logins. It is not tax residence, not a Schengen visa, and not proof that management sits in Tallinn. You still need a contact person, a legal address, and an accountant who files TSD. US LLCs skip e-Residency but add EIN, registered agent, and, for foreign owners, Form 5472. Remote agencies should map contractor paperwork in the remote digital agency tax and banking guide before they pick a flag.
VAT versus sales tax
An OÜ selling into the EU will meet VAT registration, OSS, and invoice rules far earlier than a US LLC selling the same digital service. A US LLC selling into the EU may still have VAT obligations as a non-Union supplier. Neither structure “avoids VAT.” The difference is operational: Estonian software and accountants speak OSS natively; Wyoming accountants speak Form 5472 natively. Choose the language you want to be fluent in.
Banking rails
Mercury is not available to a pure Estonian company. Stripe is feasible for both Wyoming and Estonia on the FoxyCorp matcher, with USD payouts for US entities and EUR-oriented payouts for Estonia. Wise Business is feasible for both and is usually the first account a cross-border agency should open because it holds USD, EUR, and GBP local details. Formation documents, an operating agreement or articles, and passports of 25%+ owners are the recurring KYC pack.
Open Wise Business when you invoice in mixed currencies. If the US LLC path wins, add Firstbase for formation and Mercury for USD operating cash. Agencies that hire across borders should look at Deel for contractor agreements rather than informal PayPal threads.
POEM and the founder’s kitchen table
Place of effective management is the silent killer of “Estonia is 0%” slides. If board decisions, customer contracts, and day-to-day control happen in the founder’s residence country, that country may claim the company as resident. e-Residency does not move your kitchen table. A Wyoming LLC has the same problem in reverse: a German founder managing a US LLC from Berlin still has German facts. Structure is not a teleport.
Head-to-head with Delaware venture mechanics lives in Wyoming LLC vs Delaware C-Corp. UK founders who need GBP collections should also read UK LTD vs US LLC. SaaS operators choosing a merchant of record can skip a lot of VAT registration pain via the SaaS and AI startup guide.
Worked example
A Lisbon product studio, €400k revenue, medium transaction volume, contractors in Ukraine and Brazil, clients in the US and Germany. Estonia OÜ plus Wise: $0 state fee, $300 address, $1,200 bookkeeping, $600 CPA, TSD every month, 0% until dividends. Wyoming LLC plus Stripe and Mercury: $62 + $100 + $1,400 + $800, Form 5472, better USD onboarding, no EU company law. Many studios keep both a contracting OÜ and a US collection LLC; that is a group, which means invoices between the two companies need real contracts and arm’s-length fees.
When running both entities is justified
A dual stack is justified when USD processors will not underwrite the OÜ and EU clients will not sign a Wyoming LLC. In that case the OÜ is the contracting and invoicing vehicle for Europe, the LLC is the Stripe merchant and US vendor of record, and a short intercompany services agreement describes who owns the brand, who employs the founder’s time, and what markup applies. Without that paper, you have two companies accidentally billing the same customers and no defense when a tax authority asks where management sits.
Do not add a second entity to “hold IP” unless you can explain the license fee. Empty IP companies attract questions and bank reviews. If the only problem you are solving is currency conversion, Wise already holds USD, EUR, and GBP details inside one KYC file. If the only problem you are solving is vanity of a European VAT number, quantify how many invoices actually require it. The Estonia 0% retained-earnings rule is valuable when you can leave cash in the company for a year or more. If founders drain dividends monthly to pay rent, you are paying the 20/80 distribution tax and still filing TSD. That is a legitimate European company, not a tax hack, and you should compare it honestly against a UK LTD if GBP payroll is the real constraint.
Before you apply for e-Residency, list the banks that have already rejected you and the processors you must keep. e-Residency does not reverse a Stripe rejection and does not move your place of effective management. It does let you sign annual reports without flying to Tallinn, which is the actual product.

Does Estonia tax retained profits inside an Ou00dc?
Estonia charges 0% corporate tax on retained and reinvested profits. Distributed dividends are taxed on the 20/80 net model, and monthly TSD filings still apply.
Is a Wyoming LLC tax-free for a European founder?
No. Wyoming has 0% state corporate income tax, but the founderu2019s residence country, PE/POEM tests, and US federal reporting (Form 5472) still apply.
Which structure is easier for Wise Business?
Both can work. Wise is feasible for Estonia and US entities when you present incorporation documents, an operating agreement or articles, and beneficial-owner passports.
Do I need e-Residency to run an Ou00dc?
e-Residency is the practical remote-administration path. It is a digital identity card, not tax residency and not a visa.
